Media King | Video Production Agreement

1. ENGAGEMENT AND SCOPE OF WORK

1.1. Media King (the "Company") agrees to provide video production services as specified in the approved Quote or Project Brief.

1.2. The Company retains absolute discretion over the technical and creative execution of the project, including the choice of hardware (cameras/drones) or software-based synthesis (AI/Graphic Design).

1.3. This agreement is "gear-agnostic" and applies to all forms of content creation, from onsite cinematography to workstation-based digital production.

2. FINANCIAL PROVISIONS

2.1. A non-refundable Booking Deposit of 50% of the total project value is required to secure production dates and initiate pre-production.

2.2. The remaining 50% balance is payable immediately upon approval of the "Fine Cut" and must be settled before the delivery of final, high-resolution, watermark-free files.

2.3. Standard production days are calculated at 8 hours; any time worked exceeding this limit will be billed as overtime at R2,500 per hour, and is at the discretion of Media King.

2.4. In the event of late payment, the Company reserves the right to withhold all final deliverables and suspend any ongoing post-production.

3. CLIENT OBLIGATIONS AND PRE-PRODUCTION

3.1. The Client must provide a comprehensive final brief prior to the commencement of work; any deviation from this brief after the deposit is paid may incur additional "Change Order" fees.

3.2. For all onsite productions, the Client is responsible for securing all necessary permits, location access, and providing "Artist Catering" for the Company team for any shoot exceeding 5 hours.

3.3. The Client warrants that all individuals appearing in the production have granted legal consent via talent release forms, or the Client assumes all liability for their appearance.

4. POST-PRODUCTION AND REVISION ARCHITECTURE

4.1. The project fee includes two (2) rounds of consolidated revisions as standard.

4.2. Stage 1 (Rough Cut) revisions are limited to narrative flow, clip selection, and general structure.

4.3. Stage 2 (Fine Cut) revisions are limited to color grading, text overlays, and final audio levels.

4.4. Any revision requests exceeding these two rounds, or requested after final delivery, will be billed at a standard rate of R650 per hour.

4.5. All feedback must be submitted in a single, consolidated document or email to ensure project momentum and efficiency.

5. PROPRIETARY WORKFLOWS AND AUGMENTED CONTENT

5.1. The Company utilizes proprietary digital synthesis and advanced generative AI tools to maximize production value and aesthetic quality.

5.2. Integrated AI-generated assets or licensed stock footage may be used at the Company’s discretion to fulfill scenes that are physically impractical or to enhance the cinematic standard.

5.3. The Company is under no obligation to disclose the specific software, AI models, or digital tools used in the production process, as these constitute protected trade secrets.

6. INTELLECTUAL PROPERTY AND USAGE RIGHTS

6.1. Upon receipt of full and final payment, the Client is granted a perpetual, non-exclusive license to use the Final Edited Video for commercial and marketing purposes.

6.2. Media King retains the underlying copyright and ownership of all raw footage, project files, and unedited data captured or synthesized during the project.

6.3. Raw footage is expressly excluded from the project fee; should the Client require ownership of raw data, a "Media Buy-out Fee" (minimum 50% of total project value) will be applied.

6.4. The Company reserves the right to utilize the final product and Behind-the-Scenes (BTS) content for its own promotional, portfolio, and marketing purposes.

7. CANCELLATION, POSTPONEMENT, AND WEATHER

7.1. If the Client cancels the project within 48 hours of the scheduled start date, the 50% deposit is forfeited in full to cover lost opportunity and preparation costs.

7.2. Any postponement initiated by the Client within 24 hours of the production start time will incur a R3,500 Re-scheduling Fee.

7.3. In the event of "Force Majeure" or weather preventing an outdoor shoot, the Company will reschedule at the earliest mutually available date at no additional cost.

8. LIABILITY, INDEMNITY, AND DATA RETENTION

8.1. In the event of total technical failure or data loss, the Company’s liability is strictly limited to a refund of the monies paid by the Client for that specific project.

8.2. The Company will archive project files for a period of 30 days following final delivery; thereafter, the Company is not responsible for the retrieval or storage of any project data.

8.3. The Client indemnifies Media King against any legal claims, damages, or costs arising from the use of Client-provided assets, including trademarks, music, or logos.
